TxSU Submission + Workshop Terms

Version 1.1—Effective: March 31, 2026

By checking “I Agree” and submitting any song, lyric, demo, recording, or related material (each, a “Submission”) to Texas Songwriter U / Texas Heritage Songwriters Association (“TxSU”) for its programs, contests, workshops, mentoring, judging, showcases, and related activities (the “Program”), you agree:

  • Eligibility/Authority. You are 18+ (or a parent/legal guardian accepts for you) and have authority to agree.
  • No Confidential Relationship / No Implied Contract. Your Submission is not confidential. TxSU has no duty to treat it as confidential, and no fiduciary relationship is created. TxSU’s receipt/review/feedback does not create any implied promise to compensate you or any implied-in-fact contract.
  • Program-Use License Only. You grant TxSU a non-exclusive, worldwide, royalty-free license to reproduce, distribute, display, and perform your Submission solely as reasonably necessary to administer the Program, including internal sharing with judges/mentors/Program personnel. No public/promotional use is permitted under this license absent separate, clear opt-in permission.
  • AI Rules (Lyrics/Melody Prohibited; Demo-Only Permitted).
    • No AI for Lyrics/Melody. You represent that no portion of the lyrics or melody of the Submission was written, generated, or materially assisted by artificial intelligence, machine-learning tools, or third-party songwriting services.
    • Demo-Only Use Permitted. If AI was used at all, it was used only to create or enhance the audio demo recording (e.g., instrumentation, arrangement, mixing, production), and not to write, generate, modify, or contribute to the lyrics or melody.
  • Co-Writers Disclosure. You have fully disclosed all co-writers (if any) and obtained all necessary permissions from each co-writer to submit the Submission and participate in the Program.
  • Publishing Status. The Submission is not subject to any exclusive publishing agreement that would restrict your submission or participation, and you do not have a current publishing deal that would restrict participation.
  • Ownership & No Infringement (Reps/Warranties). You own or control all rights necessary to submit the Submission and grant the Program-use license above, and the Submission does not infringe or misappropriate any third-party rights (copyright or otherwise).
  • No Verification / Reliance Disclaimer. You acknowledge TxSU does not independently verify copyright ownership, authorship, publishing status, or originality and relies on the information you provide.
  • Disqualification / Removal. TxSU may reject, remove, or disqualify any Submission or participant if TxSU reasonably believes there is a breach, false/misleading/incomplete information, a credible rights dispute, or Program integrity concern. TxSU has no obligation to investigate or adjudicate disputes.
  • Independent Creation; Similarity. You understand TxSU, mentors, judges, staff, volunteers, sponsors, and Program participants continually create and evaluate songs and that similarities may occur through independent creation, common musical elements, or coincidence. You will not assert a claim based solely on similarity of ideas, themes, concepts, titles, style, or other non-protectable elements, absent proven copying of protectable expression.
  • Limited Release (Similarity / “Idea-Submission” Claims). To the fullest extent permitted by law, you release TxSU and its directors, officers, employees, volunteers, judges, mentors, sponsors, partners, and agents (“TxSU Parties”) from claims arising out of (i) TxSU’s receipt/review/critique of your Submission, and (ii) alleged use of ideas, concepts, themes, titles, general style, or other non-protectable elements, and (iii) claims based solely on similarity, except to the extent based on proven copying of protectable expression.
  • Indemnity for Third-Party Claims (Submission-Based). You will indemnify, defend, and hold harmless TxSU and the TxSU Parties from and against any third-party claim, demand, action, or proceeding arising out of or relating to (i) your Submission, (ii) any allegation that your Submission infringes or misappropriates any copyright or other proprietary right, or (iii) any breach of your representations, warranties, or obligations under these Terms. This indemnity includes TxSU’s reasonable attorneys’ fees and costs incurred in responding to or defending such claim. TxSU will provide you prompt notice of the claim and reasonable cooperation (at your expense). You may control the defense and settlement of the claim; however, you may not settle any claim in a manner that imposes any admission of fault, non-monetary obligation, or restriction on any TxSU Party without TxSU’s prior written consent (not to be unreasonably withheld).
  • Limitation of Liability. To the fullest extent permitted by law, TxSU Parties will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits or loss of goodwill, arising out of or relating to the Program or these Terms. Nothing in these Terms limits liability to the extent it cannot be limited under applicable law.
  • Acceptance Records. TxSU may retain a record showing that you agreed to these Terms (including the date/time of acceptance, the Terms version accepted, your identity/account, the Submission ID, and limited technical identifiers such as IP address and/or session identifier) for Program administration and to document your agreement.
  • Governing Law; Venue. Texas law governs these Terms. The parties agree to exclusive jurisdiction and venue in the state or federal courts located in Travis County, Texas, and waive any objection based on inconvenient forum.
